Terms of Service — Edgecraft Labs

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Edgecraft Labs LLC ("Edgecraft Labs," "Company," "we," "us," or "our"), a limited liability company organized under the laws of the State of Delaware, United States. By accessing or using our website at edgecraftlabs.io, our software platform, or any related services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms in their entirety, you must not access or use the Service. Your continued use of the Service following any modifications to these Terms constitutes your acceptance of such modifications.

Please read these Terms carefully. They contain important information about your legal rights, remedies, and obligations, including a binding arbitration clause and class action waiver in Section 15.

2. Description of Service

Edgecraft Labs operates a subscription-based software-as-a-service ("SaaS") platform that provides analytics, training simulations, and performance tracking tools designed for strategy-based domains. The Service is intended for educational and analytical purposes.

The Service may include, but is not limited to:

Performance Analytics: Tools that track, measure, and visualize metrics related to strategic decision-making and performance over time.
Training Simulations: Simulation environments that allow users to practice strategies, stress-test approaches, and develop decision-making skills in controlled settings.
Progress Tracking: Longitudinal tracking features that enable users to monitor improvement, identify patterns, and assess performance trends across defined time periods.

The Service is provided as an online platform accessible through web browsers. Edgecraft Labs reserves the right to modify, enhance, suspend, or discontinue any aspect of the Service at any time, with or without notice, subject to applicable law.

3. Eligibility

To access or use the Service, you must:

Be at least eighteen (18) years of age or the age of legal majority in your jurisdiction, whichever is greater;
Have the legal capacity to enter into a binding agreement;
Not be prohibited from using the Service under the laws of your jurisdiction or any applicable jurisdiction;
Not have been previously suspended or removed from the Service by Edgecraft Labs.

By using the Service, you represent and warrant that you meet all of the foregoing eligibility requirements. If you are using the Service on behalf of a legal entity, you further represent and warrant that you have the authority to bind such entity to these Terms, and "you" shall refer to such entity.

4. Account Registration and Security

To access certain features of the Service, you may be required to create an account. When registering for an account, you agree to:

Provide accurate, current, and complete information during the registration process;
Maintain and promptly update your account information to keep it accurate, current, and complete;
Maintain the security and confidentiality of your login credentials and not share them with any third party;
Immediately notify Edgecraft Labs at hello@edgecraftlabs.io of any unauthorized use of your account or any other breach of security;
Accept full responsibility for all activities that occur under your account.

You may not use another person's account without their express permission and without the Company's consent. Edgecraft Labs reserves the right to suspend or terminate any account that we reasonably believe has been compromised, is being used fraudulently, or is in violation of these Terms.

Edgecraft Labs shall not be liable for any loss or damage arising from your failure to comply with the security obligations set forth in this section.

5. Subscription Plans and Payments

5.1 Subscription Tiers and Pricing

The Service is offered on a subscription basis. Current subscription tiers, pricing, and included features are displayed on the platform and may be updated from time to time. By selecting a subscription plan, you agree to pay the applicable fees for the tier you have chosen. All prices are stated in United States Dollars (USD) unless otherwise indicated.

5.2 Billing Cycles and Auto-Renewal

Subscriptions are billed on a recurring basis according to the billing cycle associated with your selected plan (e.g., monthly or annually). Your subscription will automatically renew at the end of each billing cycle for a subsequent period of the same duration, unless you cancel your subscription before the renewal date. The renewal fee will be charged at the then-current rate for your subscription tier.

5.3 Payment Processing

All payments are processed through third-party payment processors. By providing payment information, you authorize Edgecraft Labs and its designated payment processor(s) to charge the applicable fees to your specified payment method. You are responsible for ensuring that your payment method remains valid and that sufficient funds are available. Edgecraft Labs does not store your full credit card or payment details on its servers.

5.4 Price Changes

Edgecraft Labs reserves the right to change subscription pricing at any time. If we increase the price of your subscription plan, we will provide you with at least thirty (30) days' prior written notice (via email to the address associated with your account or through a notice posted on the Service). The new pricing will take effect at the start of your next billing cycle following the notice period. Your continued use of the Service after the price change takes effect constitutes your acceptance of the new pricing. If you do not agree to the price change, you may cancel your subscription before the new pricing takes effect.

5.5 Taxes

All fees are exclusive of any applicable taxes, levies, duties, or similar governmental assessments, including without limitation value-added, sales, use, or withholding taxes assessable by any jurisdiction (collectively, "Taxes"). You are responsible for paying all Taxes associated with your subscription, except for those based on Edgecraft Labs' net income. If Edgecraft Labs is required by law to collect or remit Taxes on your behalf, such Taxes will be added to your invoice or charged to your payment method.

6. Free Trials

Edgecraft Labs may, at its sole discretion, offer free trial periods for certain subscription plans. If you register for a free trial, you will have access to the applicable features of the Service for the duration of the trial period at no charge.

Unless you cancel before the end of the free trial period, your subscription will automatically convert to a paid subscription at the then-current rate for the plan associated with your trial, and your payment method will be charged accordingly. We will make the terms of any free trial, including its duration and any limitations, clear at the time of enrollment.

Free trial eligibility is limited to one trial per individual and per household. Edgecraft Labs reserves the right to determine free trial eligibility in its sole discretion and to revoke or modify any free trial offer at any time without notice.

7. Cancellation and Refunds

7.1 How to Cancel

You may cancel your subscription at any time through your account settings on the platform or by contacting us at hello@edgecraftlabs.io. Cancellation requests will be processed within a reasonable timeframe.

7.2 Effect of Cancellation

Upon cancellation, your subscription will remain active through the end of your current billing period. You will continue to have access to the features of your plan until the billing period expires. After the billing period ends, your account will be downgraded and you will no longer have access to paid features of the Service. Cancellation does not entitle you to a refund for the current billing period.

7.3 Refund Policy

Edgecraft Labs does not provide prorated refunds for any unused portion of the current billing period following cancellation. All fees paid are non-refundable except where required by applicable law. If you believe that a charge was made in error, you must contact us at hello@edgecraftlabs.io within thirty (30) days of the charge to request a review. Edgecraft Labs will evaluate refund requests on a case-by-case basis and may, in its sole discretion, issue a full or partial refund where circumstances warrant.

8. User Conduct and Acceptable Use

By using the Service, you agree that you will not, and will not permit or encourage any third party to:

Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, data structures, or underlying ideas of the Service or any part thereof;
Scrape, crawl, or use automated means (including bots, spiders, scripts, or similar technologies) to access, collect, or extract data from the Service without our prior written consent;
Use the Service for unauthorized commercial purposes, including reselling, redistributing, sublicensing, or otherwise making the Service or any data obtained therefrom available to third parties for commercial gain, except as expressly permitted by your subscription plan;
Share, transfer, or disclose your account credentials to any third party, or allow multiple individuals to access the Service using a single account, unless explicitly authorized by your subscription plan;
Use the Service for any illegal purpose or in violation of any applicable local, state, national, or international law or regulation, including but not limited to laws governing data privacy, intellectual property, and online conduct;
Interfere with, disrupt, or attempt to compromise the security, integrity, or performance of the Service, its servers, networks, or infrastructure, including through the introduction of malware, denial-of-service attacks, or any other harmful activity;
Misrepresent your identity, affiliation, or authority, or impersonate any person or entity, including an employee or representative of Edgecraft Labs;
Circumvent, disable, or otherwise interfere with any security, access control, or technical protection measures of the Service;
Use the Service to develop a competing product or service, or assist any third party in doing so;
Use the results, data, or outputs from the Service as the basis for gambling, wagering, or any form of betting activity. The Service is designed exclusively for educational and analytical purposes and is not intended for use as a gambling tool or advisory service.

Edgecraft Labs reserves the right to investigate and take appropriate action against any User who, in our sole discretion, violates this section, including without limitation removing content, suspending or terminating the User's account, and reporting the User to law enforcement authorities.

9. Intellectual Property

9.1 Company Ownership

The Service, including but not limited to its software, code, algorithms, data models, user interface designs, graphics, logos, trademarks, service marks, trade names, text, images, audio, video, documentation, and all other content and technology (collectively, "Company Materials"), is the exclusive property of Edgecraft Labs or its licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in or to the Company Materials except as expressly set forth herein.

9.2 Limited License

Subject to your compliance with these Terms and payment of applicable subscription fees, Edgecraft Labs grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your personal, non-commercial, educational, and analytical purposes as contemplated by your subscription plan. This license does not include the right to:

Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, or create derivative works from the Company Materials;
Use any data mining, robots, or similar data-gathering or extraction methods on the Company Materials;
Frame or mirror any part of the Service without our express prior written consent.

9.3 User Feedback

If you provide Edgecraft Labs with any feedback, suggestions, ideas, improvements, or other input regarding the Service ("Feedback"), you hereby irrevocably assign to Edgecraft Labs all right, title, and interest in and to such Feedback. Edgecraft Labs is free to use, disclose, reproduce, license, distribute, and otherwise exploit the Feedback in any manner and for any purpose, without acknowledgment, compensation, or obligation to you. You acknowledge and agree that Edgecraft Labs is not obligated to implement or incorporate any Feedback.

10. User Content and Data

10.1 Ownership of Your Data

You retain all ownership rights in and to the data, content, and information you submit, upload, or input to the Service ("User Content"). Nothing in these Terms transfers ownership of your User Content to Edgecraft Labs.

10.2 License to Edgecraft Labs

By submitting User Content to the Service, you grant Edgecraft Labs a worldwide, non-exclusive, royalty-free, fully paid-up license to use, host, store, reproduce, modify, process, and display your User Content solely to the extent necessary to provide, maintain, and improve the Service. This license continues for as long as your User Content remains on the Service and for a reasonable period thereafter to allow for deletion and backup processes.

10.3 Data Handling

We take the handling of your data seriously. For detailed information about how we collect, use, store, and protect your personal information and User Content, please refer to our Privacy Policy. By using the Service, you consent to the collection and use of your data as described in the Privacy Policy.

11. Disclaimers

Important: The Service is provided for educational and analytical purposes only. It does not constitute and should not be relied upon as professional, financial, legal, medical, or any other form of regulated advice.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EDGECRAFT LABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, Edgecraft Labs does not warrant or represent that:

The Service will be uninterrupted, timely, secure, or error-free;
The results, data, analytics, or outputs obtained from the Service will be accurate, complete, reliable, or suitable for any particular purpose;
Any errors or defects in the Service will be corrected;
The Service will meet your specific requirements or expectations.

The Service is not gambling advice, and is not a gambling tool or service. Any analytics, simulations, projections, or performance data provided through the Service are for informational and educational purposes only. Simulation results, performance metrics, and analytical outputs do not guarantee, predict, or represent real-world outcomes. Users should not rely on the Service as a substitute for independent judgment, professional advice, or regulated advisory services.

You acknowledge and agree that your use of the Service is at your sole risk, and that you are solely responsible for any decisions or actions you take based on information obtained through the Service.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EDGECRAFT LABS, ITS OFFICERS, DIRECTORS, MEMBERS, MANAGERS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS (COLLECTIVELY, THE "EDGECRAFT PARTIES") BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

Your access to, use of, or inability to access or use the Service;
Any conduct or content of any third party on or related to the Service;
Any content, data, or outputs obtained from the Service;
Unauthorized access, use, or alteration of your transmissions or User Content;
Any decisions or actions taken by you based on information provided by or through the Service.

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE EDGECRAFT PARTIES HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF THE EDGECRAFT PARTIES TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES ACTUALLY PAID BY YOU TO EDGECRAFT LABS DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED UNITED STATES DOLLARS (USD $100.00), WHICHEVER IS GREATER.

The limitations of liability set forth in this section shall apply to the fullest extent permitted by law in the applicable jurisdiction, even if any remedy specified in these Terms is found to have failed of its essential purpose.

13. Indemnification

You agree to indemnify, defend, and hold harmless the Edgecraft Parties from and against any and all claims, demands, actions, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

Your access to or use of the Service;
Your User Content;
Your violation of these Terms or any applicable law, rule, or regulation;
Your violation of any rights of a third party, including any intellectual property, privacy, or proprietary right;
Any dispute between you and any third party arising from or related to your use of the Service.

Edgecraft Labs reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You agree not to settle any such matter without the prior written consent of Edgecraft Labs.

14. Termination

14.1 Termination by Edgecraft Labs

Edgecraft Labs may, in its sole discretion, suspend or terminate your account and access to the Service at any time and for any reason, including without limitation if we reasonably believe that you have violated these Terms, engaged in fraudulent or illegal activity, or conducted yourself in a manner that we determine to be harmful to the Service, other Users, or Edgecraft Labs. We may also terminate or suspend the Service (or any part thereof) at any time for operational, business, legal, or other reasons.

14.2 Termination by You

You may terminate your account at any time by canceling your subscription through your account settings or by contacting us at hello@edgecraftlabs.io.

14.3 Effect of Termination

Upon termination of your account, whether by you or by us:

Your right to access and use the Service will immediately cease;
We may delete your account data and User Content after a reasonable retention period, unless retention is required by law;
Any fees owed by you to Edgecraft Labs prior to termination will remain due and payable;
Sections of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 9 (Intellectual Property), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), 15 (Dispute Resolution), and 17 (General Provisions).

15. Dispute Resolution

15.1 Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

15.2 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service informally by contacting us at legal@edgecraftlabs.io. The parties shall use good faith efforts to resolve the dispute within thirty (30) days from the date the informal dispute notice is received. If the dispute is not resolved within this thirty (30) day period, either party may proceed to binding arbitration as set forth below.

15.3 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, that has not been resolved through informal resolution pursuant to Section 15.2, shall be determined by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules and Mediation Procedures then in effect. The arbitration shall be conducted by a single arbitrator, and the seat of arbitration shall be Wilmington, Delaware. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

15.4 Class Action Waiver

YOU AND EDGECRAFT LABS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. Unless both you and Edgecraft Labs agree otherwise in writing, the arbitrator may not consolidate more than one person's claims and may not preside over any form of class, consolidated, or representative proceeding.

15.5 Small Claims Court Exception

Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes or claims within the scope of that court's jurisdiction.

15.6 Jurisdiction

For any matters not subject to arbitration as set forth above, or where arbitration is found to be unenforceable, you irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of Delaware for the resolution of any dispute, claim, or controversy arising out of or relating to these Terms or the Service.

16. Modifications to Terms

Edgecraft Labs reserves the right to modify, amend, or update these Terms at any time. If we make material changes to these Terms, we will provide you with at least thirty (30) days' prior notice before the changes take effect. Notice may be provided by:

Sending an email to the address associated with your account;
Posting a notice on the Service or the Edgecraft Labs website;
Updating the "Last Updated" date at the top of these Terms.

Your continued use of the Service after the effective date of any modified Terms constitutes your acceptance of and agreement to be bound by the modified Terms. If you do not agree to the modified Terms, you must discontinue your use of the Service and cancel your subscription before the modified Terms take effect.

It is your responsibility to review these Terms periodically for changes. We recommend checking this page regularly to stay informed of any updates.

17. General Provisions

17.1 Severability

If any provision of these Terms is found by a court of competent jurisdiction or arbitrator to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if modification is not possible, severed from these Terms. The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of the remaining provisions, which shall continue in full force and effect.

17.2 Waiver

The failure of Edgecraft Labs to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Edgecraft Labs. No single or partial exercise of any right or remedy shall preclude any further exercise of that or any other right or remedy.

17.3 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without the prior written consent of Edgecraft Labs. Any attempt to assign or transfer these Terms without such consent shall be null and void. Edgecraft Labs may freely assign or transfer these Terms, in whole or in part, without restriction and without notice to you, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.

17.4 Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices, policies, or agreements published by Edgecraft Labs on the Service, constitute the entire agreement between you and Edgecraft Labs regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Service.

17.5 Force Majeure

Edgecraft Labs shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, epidemics, pandemics, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, labor disputes, shortages of transportation, facilities, fuel, energy, labor, or materials, failure of telecommunications or information technology infrastructure, hacking, cyberattacks, power outages, or any governmental action or regulation.

17.6 Notices

All notices required or permitted under these Terms from Edgecraft Labs to you may be delivered by email to the address associated with your account, by posting on the Service, or by any other method reasonably calculated to provide actual notice. Notices from you to Edgecraft Labs must be sent to:

Notices shall be deemed given when delivered personally, when sent by confirmed email, or three (3) business days after being sent by certified or registered mail, postage prepaid, return receipt requested.
